1. Acceptance of Terms and Agreement
By downloading, installing, registering an account with, or using the Lokul mobile application ("App") and any associated web-based services, content, or features (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding contract between you ("User," "Host," or "you") and Lokul ("Lokul," "we," "our," or "us"). If you do not agree to these Terms, you are strictly prohibited from downloading, accessing, or using the Service.
Modifications: We reserve the right to modify or update these Terms at any time in our sole discretion. We will notify you of any material changes by updating the "Last Updated" date above or via an in-app notification. Your continued use of the Service following the posting of changes constitutes explicit, binding acceptance of the revised Terms.
2. Eligibility and Authorized Corporate Representatives
Minimum Age Requirements: The Service is intended solely for users who are at least eighteen (18) years of age. By creating an account, you represent and warrant that you are 18 or older and have the full legal capacity to enter into a binding contract.
Corporate and Company Accounts: If you establish an account or list an event on behalf of a company, brand, LLC, partnership, or other business entity, you represent and warrant that you are an authorized legal representative of that entity. Your acceptance of these Terms legally and unconditionally binds that entity to these Terms. The entity assumes joint and several liability for all actions, uploads, and conduct performed under that account.
3. Description of Service and Passive Venue Disclaimer
Lokul provides an event-discovery utility platform that allows users to locate, view information about, RSVP to, and check in at local events, and permits event creators ("Hosts") to publish event descriptions.
Critical Disclaimer – Passive Venue Only: Lokul operates strictly as a passive, third-party aggregate venue. We do not own, manage, host, organize, employ staff for, endorse, verify, or guarantee the safety, legality, crowd control, or quality of any event listed on the App.
Assumption of Risk: You acknowledge that physical attendance at any real-world event discovered via the App carries inherent risks, including property damage, physical injury, illness, or death. You voluntarily, knowingly, and completely assume all risks associated with your attendance at any such event. You agree that Lokul shall have zero liability, responsibility, or financial obligation for any incident, dispute, injury, or unlawful act occurring at or in transit to any event.
4. Account Security and Credentials
You are solely responsible for maintaining the strict confidentiality of your login credentials, which are authenticated securely through our infrastructure. You accept full responsibility for all activities occurring under your account profile. You agree to notify us immediately at legal@lokul.live if you suspect or experience unauthorized account access or a breach of security.
5. Prohibited Conduct and Public Safety
You agree to utilize the Service strictly for lawful, personal purposes. You are completely prohibited from, and agree not to engage in, the following conduct:
- Public Safety Violations: Organizing, listing, promoting, facilitating, or participating in unpermitted, non-sanctioned, or illegal public gatherings. This explicitly includes, but is not limited to, illegal street takeovers, unpermitted street racing, stunt driving exhibitions, or blockades in violation of Florida Statutes § 316.191 or corresponding laws in any jurisdiction.
- Malicious Behavior: Harassing, stalking, threatening, defaming, defrauding, or violating the legal rights of other users, Hosts, or members of the general public.
- System Abuse: Scraping data, utilizing automated bots or scripts to access the Service, reverse-engineering our source code, or attempting to bypass security barriers or Row-Level Security parameters.
Lokul maintains a zero-tolerance policy for accounts or event listings that endanger public safety. We reserve the absolute right to terminate accounts, delete listings, and forward relevant user telemetry to law enforcement immediately without prior notice.
6. User-Generated Content (UGC) & Mandatory Review Moderation
Users and Hosts may upload data, text, graphics, event descriptions, profiles, and imagery ("UGC"). You retain your underlying intellectual property rights in your UGC, but grant Lokul a perpetual, worldwide, royalty-free, sublicensable license to host, display, distribute, modify, and run your UGC to provide the Service.
Apple App Store & Google Play Mandatory Rules: There is a strict, zero-tolerance policy for objectionable, abusive, explicit, or unlawful content.
In-App Reporting and Immediate Blocking: The App features explicit in-app tools allowing any user to instantly flag inappropriate content and block abusive users.
The 24-Hour Moderation Action Window: Lokul reviews all user-submitted flags and reports via a rigorous tracking system. Lokul guarantees it will review, assess, and act upon any reported UGC or abusive user behavior (including removing non-compliant content and/or banning the offending user) within twenty-four (24) hours of the report's submission.
DMCA Takedown Notices: If you believe any UGC on the App infringes your copyright, you may submit a formal takedown notice under the Digital Millennium Copyright Act to our designated agent at legal@lokul.live.
7. Intellectual Property Rights
Except for your specific UGC, Lokul retains all right, title, and interest in and to the App, its source code, user interfaces, branding, graphics, database schema, algorithms, logic, trademarks, and logos. You are granted a limited, non-exclusive, non-transferable, revocable license to access the App for its intended consumer purpose on a compatible mobile device.
8. Hardened Limitation of Liability and Data Breach Disclosure
"As Is" Basis: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOKUL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND CYBERSECURITY INTEGRITY.
Cyberattack & Data Leak Disclaimer: LOKUL EMPLOYS INDUSTRY-STANDARD INFRASTRUCTURE DESIGN PRINCIPLES, BUT WE DO NOT REPRESENT OR WARRANT THAT THE SERVICE IS ENTIRELY IMPERVIOUS TO BACKEND HACKS, SYSTEM EXPLOITS, THIRD-PARTY DATA LEAKS, OR MALICIOUS SERVER INTERFERENCE. INTENTIONAL USER MISCONFIGURATIONS OR UNFORESEEN PLATFORM VULNERABILITIES MAY OCCUR. YOU TRANSMIT ALL PERSONAL PROFILE DATA AND LOCATION TELEMETRY AT YOUR OWN SOLE RISK.
Liability Caps and Exclusions: IN NO EVENT SHALL LOKUL, ITS FOUNDERS, OFFICERS, EMPLOYS, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, REPUTATIONAL DAMAGE, OR DATA, ARISING OUT OF OR RELATING TO: (A) THE ACTIONS, FRAUD, OR UNLAWFUL CONDUCT OF THIRD-PARTY HOSTS OR USERS; (B) THE ATTENDANCE OF ANY USER AT REAL-WORLD EVENTS; OR (C) THE UNAUTHORIZED ACCESS, LEAK, HACK, ALTERATION, LOSS, OR CORRUPTION OF YOUR PERSONAL INFORMATION.
LOKUL'S TOTAL CUMULATIVE FINANCIAL LIABILITY TO YOU FOR ALL CLAIMS, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, OR STATUTE), SHALL NEVER EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).
9. Indemnification
You agree to indemnify, defend, and hold harmless Lokul, its founders, subsidiaries, affiliates, and representatives from and against any third-party claims, lawsuits, liabilities, damages, regulatory fines, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your misuse of the Service; (b) your violation of these Terms; (c) any injury, property damage, or law enforcement actions resulting directly from a real-world event you hosted, listed, or attended; or (d) any infringement of third-party intellectual property or privacy rights caused by your UGC.
10. Mandatory Dispute Resolution: Binding Arbitration
Any dispute, claim, or controversy arising out of, relating to, or in connection with these Terms, the App, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.
Seat of Arbitration: The legal seat and physical venue of the arbitration shall be Orange County, Florida.
Class Action and Jury Waiver: YOU AND LOKUL AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL PROCEEDING. YOU EXPLICITLY WAIVE THE RIGHT TO A TRIAL BY JURY.
11. Governing Law and Court Venue Selection
These Terms and all disputes arising hereunder shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
For any claims or legal proceedings explicitly exempted from or not subject to binding arbitration (such as local small claims court matters or necessary emergency injunctive reliefs), both you and Lokul agree to submit to the exclusive personal jurisdiction and venue of the state and federal courts located within Orange County, Florida.
12. App Store Application Rules (Apple/Google)
Apple App Store Acknowledgement: You acknowledge that these Terms are executed solely between you and Lokul, and not Apple, Inc. Apple has no obligation to furnish maintenance or support services for the App. Apple is a third-party beneficiary of these Terms and has the right to enforce them against you.
Google Play Store Acknowledgement: You acknowledge that these Terms are between you and Lokul, not Google LLC. Google has no liability regarding the operational functionality or content within the App.
13. Severability and Entire Agreement
If any provision of these Terms is deemed illegal, void, or unenforceable by an arbitrator or court of competent jurisdiction, that specific provision shall be limited or severed, and the remaining provisions shall continue in full force and effect. These Terms comprise the entire legal agreement between you and Lokul regarding the Service.
